01Introduction and Agreement
Welcome to AvenueAuthority. These Terms & Conditions govern the relationship between AvenueAuthority and the clients engaging our services.
AvenueAuthority operates exclusively as a digital agency headquartered in Kolkata, West Bengal, India. We do not maintain a physical office for offline or in-person client visits. All official communication, notices, and project discussions must be directed digitally, primarily through our official contact email: hi@avenueauthority.com.
By executing a proposal, paying an invoice, or otherwise engaging AvenueAuthority for services, you acknowledge that you have read, understood, and entirely agree to be bound by these Terms.
02Scope of Services
AvenueAuthority provides a suite of digital services, including but not limited to Web Development, Marketing & Growth, Branding, and UI/UX Design. The exact scope of work, deliverables, and specifications will be outlined in a separate, written project proposal or Statement of Work (SOW).
Creator and Influencer Management: For marketing campaigns involving external content creators or influencers, AvenueAuthority will act as the central managing entity. The Agency holds the responsibility for drafting contracts, negotiating terms, and executing direct financial payouts to the creators. The Client will not need to manage direct creator relations unless explicitly agreed upon.
Post-Launch Maintenance and Hosting: Standard web development and design projects cover the build and deployment phases only. Ongoing website maintenance, server hosting, and technical updates post-launch are considered separate services. AvenueAuthority can manage these aspects for the Client under a separate, recurring billing agreement.
Out of Scope Work: Any requests, features, or campaigns outside the explicitly defined SOW will be subject to separate estimation and billing.
03Performance and Commitments
Digital marketing, algorithm changes, and consumer behavior are inherently unpredictable. AvenueAuthority does not guarantee specific results, reach, or revenue within a rigid, predetermined timeline.
The AvenueAuthority Commitment
While we cannot guarantee timelines, we are strictly committed to the success of your targets. If the specific, mutually agreed-upon key performance indicators (KPIs) or targets outlined in your SOW are not met by the end of the projected campaign timeline, AvenueAuthority will continue to provide our labor and services for that specific campaign for free until those exact targets are achieved.
Note: This commitment applies exclusively to AvenueAuthority's service fees. The Client remains fully responsible for any third-party costs required to continue the campaign.
04Payment Terms
AvenueAuthority operates primarily on milestone-based project fees. We do not bill on an hourly basis.
- Global Billing: Invoices are issued in USD or equivalent local currency as per the client's region.
- Standard Invoicing: 50% upfront non-refundable deposit via Wire/SWIFT, Card, or UPI.
- Milestone Payments: Net-30 days schedule.
- Late Fees: Outstanding balances incur a strict late fee of 5% per month.
AvenueAuthority reserves the right to suspend all active work if an account becomes severely delinquent.
05Revisions and Approvals
Included Revisions
All design, development, and campaign deliverables include a maximum of four (4) comprehensive rounds of revisions at no extra cost.
Additional revisions incur a flat-fee charge of 25$ per round.
Approval Window
The Client has exactly seven (7) calendar days to provide feedback.
Auto-Approval: If no communication is received within 7 days, the deliverable is considered automatically approved.
06Client Responsibilities
The success of any project relies on mutual cooperation. The Client agrees to provide timely access to necessary brand assets, logos, copy, platform credentials, and feedback required for the Agency to perform its duties. Delays caused by the Client's failure to provide necessary materials will directly extend the project timeline.
07Intellectual Property Rights
Upon project completion and receipt of full, final payment, all final deliverables become the property of the Client. AvenueAuthority retains the right to display the finalized work in our portfolio, case studies, and marketing materials.
08Cancellations and Refunds
No Refund Policy
Once the initial Discovery Phase has officially started, absolutely no refunds will be granted under any circumstances for any funds already paid.
Either party may terminate an ongoing retainer or project with a 7-day written notice.
09Limitation of Liability
AvenueAuthority shall not be held liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities arising from the use of our services, external platform downtimes, or third-party algorithm changes.
10Governing Law and Jurisdiction
These Terms & Conditions shall be governed by and construed strictly in accordance with the laws of India, specifically within the jurisdiction of West Bengal. Any disputes shall be subject to the exclusive jurisdiction of the competent courts located in Kolkata, West Bengal, India.
